WorkSpeaks Referral Partner Terms

This page is the public website version of the WorkSpeaks Authorized Referral Partner Agreement. It summarizes core terms clearly while stating that the full signed agreement and exhibits control.

1. Program Overview

WorkSpeaks may allow approved referral partners to introduce qualified prospects to eligible WorkSpeaks offers, including products, bundles, diagnostics, and services listed in the current Commission Schedule.

2. Independent Referral Partner Status

Referral partners are independent participants. They are not employees, agents, franchisees, legal representatives, or authorized sales representatives of WorkSpeaks.

3. No Employee Relationship

Participation does not create employment, benefits, payroll, wage, overtime, workers' compensation, unemployment insurance, or guaranteed income rights.

4. No Authority to Bind WorkSpeaks

Referral partners may not sign contracts, change pricing, offer discounts, approve refunds, make promises, or bind WorkSpeaks in any way.

5. Approved Outreach Only

Referral partners must use approved outreach copy, approved links, and approved referral processes only. Partners may not alter claims, create unauthorized materials, or represent WorkSpeaks outside approved language.

6. Required Referral Compensation Disclosure

Referral partners must clearly disclose compensation when promoting WorkSpeaks offers using this exact required disclosure:

"I may receive referral compensation if you purchase through my referral."

7. No Guarantees

WorkSpeaks provides educational, organizational, intake, diagnostic, documentation, and decision-support resources. WorkSpeaks does not provide legal, tax, financial, credit, funding, investment, accounting, or professional legal advice. No result, revenue, case, funding, credit, approval, or business outcome is guaranteed.

8. No Spam or Deceptive Outreach

Referral partners may not use spam, deceptive headers, misleading subject lines, fake identities, pressure tactics, or misleading claims.

9. No Paid Ads Without Written Permission

Referral partners may not run paid ads, boosted posts, sponsored placements, retargeting, search ads, or similar campaigns using WorkSpeaks names, offers, links, or materials without written permission.

10. No Subcontracting Without Written Permission

Referral partners may not subcontract, assign, delegate, or have others perform referral activity on their behalf without written permission.

11. Eligible Offers and Commission Schedule

Approved referral partners may refer eligible WorkSpeaks products, bundles, diagnostics, and services listed in the current Commission Schedule. WorkSpeaks may add, remove, pause, or change eligible offers and payout amounts at any time. Updated payout terms apply to future referrals only unless otherwise stated in writing.

No payout is owed unless the offer is listed as eligible in the current Commission Schedule at the time of the qualifying purchase. WorkSpeaks may update the Commission Schedule at any time. Changes apply to future referrals only unless WorkSpeaks states otherwise in writing.

Current Starter Commission Schedule:

  • • $97 flat payout for each eligible paid Missed Case Revenue Diagnostic.
  • • 30% payout for eligible digital products under $100.
  • • 25% payout for eligible digital products from $100 to $299.
  • • 20% payout for eligible bundles or digital products of $300 or more.
  • • $250 payout for eligible setup sales from $1,500 to $2,999.
  • • $500 payout for eligible setup sales from $3,000 to $4,999.
  • • 10% of the first setup payment for eligible setup sales of $5,000 or more.
  • • 10% of the first month only for eligible monthly retainer sales.
  • • No lifetime royalties unless there is a separate written active-management agreement.

12. Qualified Referrals and Tracking

Qualified referrals must be submitted through the approved process and include accurate information. WorkSpeaks may reject duplicate, fake, incomplete, unqualified, unauthorized, or noncompliant referrals. WorkSpeaks has final approval over referral qualification and attribution.

13. Payouts, Refunds, and Chargebacks

Referral payouts are only earned on qualified referrals that result in collected revenue actually received by WorkSpeaks. No payout is owed for unpaid, refunded, charged back, fraudulent, duplicate, unqualified, or unauthorized referrals.

If WorkSpeaks pays a referral payout and the related client payment is later refunded, reversed, disputed, or charged back, WorkSpeaks may deduct, offset, or recover the payout from future amounts owed or request repayment.

14. Taxes and Payment Information

Referral partners are responsible for their own taxes, forms, reporting, expenses, and payment information. WorkSpeaks may require tax forms and payment details before issuing any payout.

15. Client Ownership

WorkSpeaks owns the client relationship, prospect relationship, lead records, referral records, diagnostic process, service relationship, and follow-up process. Referral partners may not interfere with, redirect, or independently solicit WorkSpeaks clients or prospects outside approved referral activity.

16. IP, Confidentiality, and Brand Use

WorkSpeaks owns the scripts, diagnostic, lead sheet, outreach copy, client relationship, and client-facing materials. BAM IP may own or control the underlying prompts, bot logic, templates, creative assets, workflows, and related intellectual property. Referral partners receive only a limited permission to use approved materials for authorized WorkSpeaks referral activity.

Referral partners may not copy, resell, publish, upload, share, modify, reverse engineer, or reuse WorkSpeaks/BAM IP materials for other purposes.

17. Data Handling

Referral partners must handle prospect and client information carefully, use it only for approved referral activity, and avoid unnecessary sharing, exporting, selling, or misuse of contact data.

18. Program Changes and Termination

WorkSpeaks may approve, reject, pause, change, or end the referral program, payout rules, offer terms, outreach copy, qualification rules, or partner participation at any time. Referral partners may terminate participation by providing written notice to WorkSpeaks.

19. Governing Law

These terms are governed by New York law unless a signed agreement states otherwise.
